HOW IT WORKS
1. Pricing Structure
Resellers are assigned a pricing band based on their approved affiliate or reseller rank (“Band Level”). Each band reflects the reseller’s current status within the Company’s affiliate program.
2. Wholesale Minimum Order Quantity (MOQ) Requirements
Wholesale pricing is subject to the applicable Minimum Order Quantity (MOQ) per order. Where the stated MOQ is met or exceeded, standard wholesale pricing will apply.
3. Orders Below MOQ – Mandatory Band pricing applied
Where an order does not meet the applicable wholesale MOQ, the reseller will not qualify for standard wholesale pricing. In such cases, pricing will automatically revert to the reseller’s approved Band Pricing tier corresponding to their current affiliate rank.
4. Rank-Based Eligibility
Access to Band Pricing is strictly limited to the pricing tier associated with the reseller’s verified affiliate rank at the time of order placement. Pricing from higher bands or alternative tiers will not apply unless eligibility requirements for that rank have been formally met and approved.
5. Reviews & Adjustments
Helmetkarts Australia reserves the right to verify reseller’s rank status prior to processing any order and to adjust pricing where necessary to reflect the reseller’s current eligibility. Reseller affiliate rank and corresponding Band Pricing eligibility will be formally reviewed and assessed by Helmetkarts Australia.
6. Amendments
Helmetkarts Australia reserves the right to amend pricing bands, MOQ thresholds, and eligibility criteria at its discretion, with notice provided where reasonably practicable.
7. Acceptance
By placing an order, the reseller acknowledges and agrees to these Band Pricing Eligibility Terms & Conditions.
We provide professional drop shipping services to support our wholesale partners and affiliates. This service allows orders to be dispatched directly to your nominated delivery address or end customer, providing a low-risk and flexible fulfillment solution.
Fulfillment & Logistics
• Orders are fulfilled directly from the Helmetkarts Australia’s warehouse to the nominated address provided by the reseller.
• The reseller is responsible for providing accurate shipping details, including labels, consignment information, and invoice references.
• Freight costs, delivery options, and any additional handling fees are outlined in our logistics and transport policies
Drop shipping or Sub-MOQ orders are specifically structured to give resellers access to their Band Affiliate Pricing without the need to meet pallet Minimum Order Quantity (MOQ) requirements.
Key points:
• Orders processed via drop shipping will strictly reflect the Band Pricing tier associated with the reseller’s verified affiliate rank.
• Pricing from higher bands or alternative tiers is not available unless eligibility requirements for that rank have been formally approved in writing.
• This ensures that resellers can operate on a per-sale basis, minimizing inventory risk while still accessing preferential pricing.
To maintain fairness, performance integrity, and brand standards, Affiliate Band Level Rank may be reviewed and adjusted at the Company’s discretion based on the following criteria:
Band Rank = Increase
1. Sustained Sales Volume
Achievement of a defined minimum purchase or sales threshold over a specified review period
2. Consistent MOQ Compliance
Regular placement of orders meeting or exceeding the applicable wholesale Minimum Order Quantity (MOQ).
3. Growth Performance
Demonstrated and sustained sales growth over consecutive review periods.
4. Account Standing
Account maintained in good financial standing, including timely payments and no outstanding balances.
5. Market Expansion Contribution
Demonstrated contribution to expanding the Company’s market presence, customer acquisition, or regional growth.
Band Rank = Decrease
7. Failure to Maintain Volume Requirements
Inability to meet minimum purchase or performance thresholds during the designated review period.
8. Payment Issues
Late payments, chargebacks, disputes, or breach of payment terms.
9. Brand or Policy Breaches
Violation of marketing guidelines, unauthorized discounting, misrepresentation of products, or breach of reseller policies.
10. Inactivity
Prolonged inactivity beyond the defined account maintenance period.
1. Order Placement
• All orders or reservations must be placed through our Sales team via phone or email. Direct contact ensures accuracy, priority handling, and avoids miscommunication.
2. Stock Verification
• Live stock levels are published on our official website.
• The website shows only “Out of Stock” and “Low Stock” indicators; it does not reflect exact quantities.
• For precise inventory counts, affiliates must contact the Sales team directly.
3. Submitting Orders
• Present a clear order request including product codes, quantities, and delivery details.
• Any special requirements (e.g., assembly instructions, customizations) should be specified at this stage.
4. Stock Confirmation & Approval
• The Sales team will verify availability within 24 hours of receiving the order request.
• If items are unavailable, alternative options or backorder timelines will be communicated.
5. Invoice & Reservation
• A confirmed invoice will be issued once stock is verified.
• This invoice acts as a reservation for 72 hours, during which the order is secured.
• Orders not paid within this period will be released back into inventory.
6. Order Adjustments & Cancellations
• Changes or cancellations can only be accepted 24hrs prior to Order fulfilment and Dispatch
• Order Cut-Off: End of business Wednesday each week.
• Dispatch Days: Thursday and Friday of the same week.
• Orders After Cut-Off: Orders received after the Wednesday cut-off will be scheduled for dispatch the following week.
• Processing Time: All orders are processed within 24 hours of receipt. Any delays will be communicated promptly.
Order confirmation email immediately upon submission, including a summary of items, billing, and expected dispatch date. For Dropshippers or Nominated freight forwarders, please ensure all corosponding shipping labels assoigned to the order(s) are emailed before before the Dispatch day. Once dispatched, tracking details will be provided via email.
Special Orders or Backorders: Items that require special handling or are out of stock may have extended dispatch times. Customers will be notified of any changes to the standard schedule.
Clients may nominate and arrange their own freight provider if preferred.

• All shipping labels and consignment documentation must be emailed to info@helmetkarts.com
• The relevant invoice number must be clearly referenced in all correspondence and freight documentation.
We are not responsible for delays or issues arising from third-party freight arrangements organised by the client.

Full payment (100%) of the invoiced amount is required prior to the commencement of order processing, production, allocation of stock, or shipment.
No goods will be reserved, released, or dispatched until payment has been received in full and cleared in our account. Submission of a purchase order does not constitute acceptance of the order; acceptance occurs only upon receipt of full payment.
We do not offer credit facilities, end-of-month terms, net payment terms or any deferred payment arrangements unless expressly agreed in writing by an authorized representative.
Helmetkarts Australia reserves the right to cancel any unpaid order at its discretion. Any bank fees, transaction charges, or currency conversion costs are the responsibility of the client.

The Company’s Wholesale Program is designed for established businesses operating within the automotive and recreational vehicle industry. The program provides access to wholesale pricing, Band Pricing eligibility, and optional drop shipping services, subject to compliance with the Company’s policies and performance requirements.
Business Eligibility Requirements
• An active retail shopfront and/or
• A commercial warehouse facility suitable for receiving palletised freight and inventory storage.
• Residential-only operations without a registered commercial facility may not qualify unless otherwise approved in writing.
Industry Experience
• Automotive retail or distribution
• Powersports or recreational vehicles
• Karting, motorsport, or related mechanical industries
Business Registration & Compliance
• Hold a valid registered business entity (e.g., ABN/ACN or equivalent)
• Comply with all local licensing and regulatory requirements
• Provide accurate and complete business information during application
Commercial Capability
• Handle bulk inventory
• Manage customer service and warranty enquiries
• Provide basic product knowledge and support to end customers
• Accept commercial freight deliveries (including forklift access where required)
Wholesale Structure
• Wholesale pricing is subject to Minimum Order Quantity (MOQ) requirements.
• Orders below MOQ revert to the applicable Band Pricing tier.
• Payment is strictly required upfront prior to order processing.
• Rank and pricing eligibility are reviewed every ninety (90) days.

These guidelines define warranty procedures, responsibilities, and best practices for all affiliates and resellers. Compliance ensures consistency, minimizes risk, and protects all parties.
Affiliate & Reseller Responsibilities
• Responsible for product assembly, installation, storage, and delivery.
• All warranty and return processes must follow the official policies published on our the official Helmetkarts Australia website.
• Responsible to handle all customer warranty, return, or exchange requests directly; our company will not intervene in end-customer disputes.
• Maintain proper documentation for all sales, shipments, and customer interactions to support warranty claims if needed.
Reporting & Handling Defects
• Any suspected defects, poor workmanship, or quality issues must be reported immediately.
• Clear photos or videos of the product and defect
• Detailed description of the issue and how it occurred
• Product batch/serial number (if applicable)
Company Assistance
Our company provides support only to affiliates/resellers, not directly to end customers.
• Guidance on assembly or installation
• Clarification of warranty coverage
• Advice on processing defective or returned items
• Supply of replacement parts
Warranty Limitations
Warranty applies ONLY to verified manufacturing defects or quality issues. We will not warrant the following:
• Assembly or installation errors by affiliates, resellers, or end customers
• Misuse, neglect, or improper handling
• Normal wear and tear
Best Practices & Recommended Policies
• Quality Checks: Perform a final inspection on all products before shipment to reduce defects reaching customers.
• Customer Communication: Respond to inquiries promptly and politely, maintaining your brand’s professional reputation.
• Record Keeping: Maintain sales, shipping, and warranty records for at least 12 months for accountability.
• Return Logistics: Have a clear internal process for returned products, including packaging, labelling, and documenting reasons for return.
• Training & Education: Affiliates and resellers should familiarize themselves with assembly guides, safety information, and product manuals.
• Legal Compliance: Ensure all sales comply with local consumer protection and safety regulations.
• Continuous Feedback: Share insights or recurring issues with our team to improve product design, manuals, or shipping processes.
Mandatory Brand Attribution
All advertising, product listings, websites, social media promotions, and printed materials must clearly reference the Helmetkarts Australia Brand name: Helmetkarts
Media & Content Usage
Affiliates are strictly prohibited from copying or using identical images displayed on the official Helmetkarts website (www.helmetkarts.com)
Media Archive Access
Affiliates will be granted access to the official Helmetkarts Media Archive, which includes:
• Product photography
• Lifestyle imagery
• Promotional videos
• Specification sheets
• Marketing materials
Minimum Advertised Price (MAP) Policy
Affiliates and Resellers agree not to advertise, promote, or sell Helmetkarts vehicles below the agreed Minimum Advertised Price (MAP).
• Accurately represent all product specifications and features
• Clearly communicate any assembly requirements where applicable
• Refrain from modifying vehicle designs without prior written consent
• Not rebrand, private label, or misrepresent Helmetkarts products in any manner
